Shaun Johnston is a partner in KSM’s Business Advisory Group, where he advises private equity firms and their portfolio companies on complex tax matters throughout the investment lifecycle. He works closely with private equity sponsors and management teams on both buy-side and sell-side transactions, including structuring acquisitions, modeling tax-efficient deal structures, and planning for future exits. Shaun advises clients on pass-through and corporate taxation, helping them understand and navigate the differences in tax treatment. His work includes developing tax planning strategies for pass-through entities, such as tax distributions and allocations, as well as structuring debt and equity arrangements and coordinating tax diligence for mergers and acquisitions.
In addition to his work in the private equity space, Shaun has extensive experience serving clients in the manufacturing and distribution sector. He advises companies on matters such as multistate taxation, inventory accounting, cost capitalization, accounting method optimization, and the tax implications of supply chain and operational changes. Shaun partners with his clients to align tax strategies with business objectives, helping them manage risk while identifying opportunities for tax savings.
Shaun received a Bachelor of Science in Business degree with a concentration in accounting from Indiana University South Bend.
Shaun is a member of the American Institute of CPAs and the Indiana CPA Society.
