Rob Hilton, a director in Katz, Sapper & Miller’s ESOP and Valuation Services Groups, will speak at the 2017 ESOP Association Multi-State Conference - Pennsylvania and Delaware and the New York and New Jersey Chapters. Taking place on Sept. 13-15 in Scranton, PA, this annual conference will feature interactive presentations and general sessions covering a variety of employee stock ownership plan (ESOP) topics.

Hilton will co-present a session with Andy O’Neil of Prairie Capital Advisors on Friday, Sept. 15. This session, designed to address the considerations of minority ESOP companies considering transitioning to majority ESOP ownership, will review the anatomy of a second-stage ESOP transaction. Topics discussed will include the governance, financing, valuation, ERISA compliance, and culture issues this style of transition often entails.

The conference will focus on technical, leadership, and culture topics specifically related to ESOPs, including:

  • Empowering employees to create a successful ESOP
  • ESOPs for beginners
  • Basic ESOP distribution rules
  • Developing leadership at all levels
  • Metrics of communication
  • The auditor’s role in an ESOP
  • Fundamentals of repurchase obligation
  • Value drivers of an ESOP company
  • Common administrative errors
  • Fiduciary responsibility for value determination
  • Maintaining an ownership culture through mergers and acquisition
  • Alternative ESOP and employee ownership strategies

Hilton shares his extensive experience in Valuations and ESOPs as a frequent speaker at conferences related to all aspects of ESOP transactions.
