Katz, Sapper & Miller’s Rob Hilton, director in the firm’s ESOP and Valuation Services Groups, will serve as a panelist for two separate sessions at the National Center for Employee Ownership (NCEO) 2017 Employee Ownership Conference. The conference, taking place April 4-6 in Denver, CO, will feature interactive presentations and general sessions covering a variety of topics including employee stock ownership plans (ESOPs), compensation and benefits, communications and culture, and leadership and governance issues.
Hilton’s first session, part of the ESOP: Beyond the Basics learning track, will take place on Wednesday, April 5 and will review the anatomy of second-stage ESOP transactions and how to transition from minority to majority ESOP-owned. Hilton will address the governance, financing, valuation, Employee Retirement Income Security Act (ERISA) compliance, and cultural issues a major transition entails. Joining Hilton as panelists during this session will be Andy O’Neil of Prairie Capital Advisors, Inc. and Brian Goldstein of Jackson Lewis.
Taking place Thursday, April 6, Hilton’s second session, The Annual Update Process, is part of the ESOP Basics track. This session will outline the roles of management, trustees, valuation advisors and the third-party administrator as they work together to complete the valuation, participant statements, Form 5500, and other necessary compliance tests. Richard Heeter of Capital Trustees, LLC and Barbara Clough of Newport Group will join Hilton as panelists for this session.
Hilton shares his extensive experience in Valuations and ESOPs as a frequent speaker at conferences related to all aspects of ESOP transactions.
